Whitelines App Terms and Conditions

If you live in the European Union, EFTA States, or the UK these Terms govern your access and use of our services as follows:

WELCOME

Welcome to the Whitelines App and Terms and Conditions of use (the “Whitelines App Terms” or just “Terms”). Theses Whitelines App Terms have been made in order to clarify the conditions under which you and other users can help to increased learning, create new insights and contribute to the development of problem-solving abilities through the Whitelines App.

We hope that you enjoy the experience and that you take your time to study these Terms as they describe the rules and values every user of the Whitelines App needs to follow. These Terms also explain your and Whitelines legal rights and obligations and the rights you grant us and other users of the App when accepting these Terms.

INTRODUCTION

The services within the “Whitelines App” or the “App” is offered to you by Whitelines AB. “Whitelines”, “we”, “us”, “our” – means Whitelines AB, reg. No: 556695-8061, Bondegatan 81, 116 Stockholm, Sweden.

The Whitelines App Terms includes the Whitelines Privacy Policy, as found here. The Whitelines Privacy Policy is an integrated part of these Terms and is executed and agreed to, and will constitute a binding agreement between you and Whitelines, with effect as of the moment you click on the “Accept” button presented with the Whitelines App Terms. When you accept the Whitelines App Terms you also acknowledge that you have read and understood the Terms, including the Privacy Policy, you accept these Terms and the Privacy Policy, and you agree to be bound by them and any changes made to them in accordance with Section 3 below. If you cannot agree or comply with the Terms, then you may not use the Whitelines App.

CHANGES TO THE WHITELINES APP TERMS

At times we may have to make changes to the Whitelines App Terms. Such changes may be made at any time in our sole discretion. If any material changes are made, we will notify you through a notice in the Whitelines App or by sending you an e-mail to the e-mail address linked with your User Account.

Changes that are not material will become effective immediately. If the changes are material, they will only become effective as of the effective date stated in the notification. Your continued use of the Whitelines App after the effective date will constitute your agreement to be bound by the changed Terms. If you do not wish to continue using the App under the new Terms, you may terminate your User Account by contacting us here.

THE APP

The “Whitelines App” will with astonishing simplicity contribute to increased learning, new insights, and the development of problem-solving abilities. We support the learning process by providing tools for co-created, game-based learning. The goal of the tool is to help individuals learn by helping each other. By focusing on comprehending, marking when you understand and making your notes available, giving feedback on other users’ notes, and sharing your or their study methods, such as multiple-choice questions, every user starts to develop into an upgraded version of him- or herself!

In Whitelines App third-party applications such as, but not limited to, storage and cloud services may be available.

In addition to the current features of the Whitelines App, we may from time-to-time add new features for the users of the App to access additional tools and features to be used in the App.

You can find a detailed description of the Whitelines App and our services and features on our website or in our App. To access the App with all the features you need to purchase a subscription to the App.

YOUR USER ACCOUNT

In order to use the Whitelines App, you must register for a Whitelines App user account (“User Account”). If you do not already have a Whitelines User Account, you can register for one directly in the Whitelines App that you find at https://www.whitelinespaper.com/whitelines-app/.

In order to create a User Account and to use the Whitelines App, you need to be 18 years or older, or be 13 years or older depending on what is required under applicable law, and/or have your parent or guardian’s consent to the Terms and have the legal power to enter into a binding agreement with us and not be barred from doing so under any applicable laws. You also promise that any registration information that you submit to us for use in connection with Whitelines App is true, complete and, accurate, and you agree to keep it that way at all times until Whitelines App Terms are terminated by either you or Whitelines pursuant to Section ‎7 below.

You will be able to sign in to the Whitelines App User Account using your personal login information. You represent and warrant to us that you, will comply with the Whitelines App Terms and that you will remain fully liable for any violations of the Terms.

Please remember that your password protects your individual User Account and that you are personally and solely responsible for keeping your password secure and confidential. If your login information is stolen or lost or if you believe that there has been unauthorized access to your User Account, please notify us immediately and change the password as soon as possible.

If there is a dispute between you and any third party about the ownership or use of a User Account Whitelines may terminate all access to such User Account at any time and without any liability to you or any other person. Whitelines may resolve disputes among users at its sole discretion. If Whitelines resolves any dispute between users, then you agree that Whitelines decision is final and binding upon you and that you will not have any cause of action against Whitelines, although you may have so against any third parties as provided under applicable law.

USER CONTENT

As a user of the Whitelines App, you may post, upload, and/or contribute (“upload”) content in the App (including but not limited to, drawings, notes, pictures, text, messages, information, and/or other forms of content (“User Content”)) to be used and modified by yourself or other users. Whitelines App is only the provider of the platform on which you and other users can upload User Content. Whitelines does not claim any ownership or intellectual property rights in the User Content you and other users upload to the App, except as what is specified in these Terms.

As a user of the Whitelines App you are personally and solely responsible for the User Content you upload into and modify in the App, and hereby represent and warrant to us that you take full personal legal responsibility for any and all User Content you upload to or modify in the App and that you have and shall uphold the legal right to upload such User Content, free of any and all claims including that none of the User Content you upload to or modify in the App does violate any applicable law and does not and shall not violate or infringe the rights of any third party, including any intellectual property (including without limitation, any copyright), privacy, personality, contract or other rights of others and that all User Content you upload to or modify in the App is in accordance with these Terms.

Rights you grant Whitelines and other users of the App

By posting User Content to the App, you grant Whitelines and all other users of the App a non-exclusive, transferable, sub-licensable, royalty-free, fully paid, worldwide license to use, reproduce, make available to the public (e.g., perform or display), publish, translate, modify, create derivative works from, and distribute the User Content on and in connection with the App and the services provided in the App, the promotion and marketing of the App and the promotion and marketing of Whitelines business, in any and all formats and through any and all media channels now known or hereafter developed. If you do not want Whitelines and/or other users of the App to use your User Content for these purposes, you should not upload any User Content to the App. If you provide User Content that contains your name, photograph, and/or other personal information you further grant Whitelines and all other users of the App the non-exclusive, fully paid, worldwide right to use such name, photograph and/or other personal information in the App and in Whitelines marketing communications to advertise, market and promote the availability of your User Content in the App.

Since hosting user-uploaded content is a risk Whitelines may, but has no obligation to, monitor, review, or edit User Content. Whitelines reserves the right, in all cases, to remove or disable access to any User Content for any or no reason, including, but not limited to, User Content that, in our sole discretion, violates the rights of any third party, poses a risk to us or any other person or violates these Terms. We may at any point take these actions without prior notification to you or any third party and without any liability to you for such removal.

You hereby acknowledge and agree that if anyone brings a claim against Whitelines related to your uploaded User Content, or any user content modified by you, that you, to the extent legally enforceable will indemnify and hold Whitelines harmless against any and all damages, liabilities, losses, expenses and/or costs arising out of such claim.

Whitelines User Guidelines

For all to have an enjoyable experience using the Whitelines App we have established a few ground rules for all users to follow. When using the App the following is not permitted for any reason whatsoever:

* Commercializing any User Content in the App.

* Removing any content or material other users, or Whitelines makes available in the App.

The Whitelines App is a friendly people loving forum and we, therefore, ask you to please respect your co-user and don’t engage in any activity, post any User Content, or register and/or use a username, which is or includes material that:

* is illegal in the applicable jurisdiction;

* includes your password or purposely includes any other user’s password or personal data of third parties;

* includes malicious content such as malware, Trojan horses, or viruses, or otherwise interferes with any user’s access to the App; and

* involves the transmission of spam, junk mail, chain letters, or similar.

Breaking any of the guidelines may result in immediate termination or suspension of your User Account.

Reporting of User Content

If you believe that any User Content in the App does not comply with the user guidelines, please contact us using this form.

If we are notified by any intellectual property owner that any User Content uploaded or modified by you in the App infringes a protected legal right, we may, in our absolute sole discretion, take actions without notifying you in advance.

SUBSCRIPTIONS, PAYMENTS, AND CANCELLATIONS

Subscriptions

On our website and in our App you can find a description of our services within the App, and find out which options are available and most suitable for you. Some options are provided free-of-charge. Other options require payment before you can access them (the “Subscriptions”).

From time to time we may offer special services or features including offerings of third-party products and other services through the App. Whitelines are never responsible for the products and services provided by any third party. We reserve the right to modify, terminate, or otherwise amend our offered subscription plans at any time in accordance with these Terms.

If you cancel your subscription, or if your Subscription is interrupted (for example, if you change your payment details), you may not be able to access the services provided in the App until the interruption ends.

Payments and billing

You may purchase a Subscription directly from us or through a third party by paying a subscription fee in advance on a monthly basis or some other recurring interval as disclosed to you prior to your purchase.

We may change the price for the Subscriptions, including recurring subscription fees, from time to time and will notify you of any price changes in advance and how to accept or reject those changes. Price changes will take effect at the start of the next subscription period following the date of the price change. Subject to applicable law, you accept the new price by continuing to use the App after the price change is in effect. If you do not agree with a price change, you have the right to reject it by unsubscribing from the Subscription prior to the price change going into effect.

Renewal and Cancellation

Your payment to us, or the third party through which you purchased the Subscription, will be renewed automatically at the end of each subscription period. If you don’t want a renewal of your Subscription you need to cancel your subscription before the end of the ongoing Subscription period by contacting Whitelines if you purchased the Subscription through us, or by canceling the Subscription through the third party you purchased the Subscription through.

Trial Period

Occasionally Whitelines may offer trials of subscriptions for free or at a reduced rate for a limited time (“Trial Period”). We may, at any time, withdraw or modify such Trial Period offer without prior notice and with no liability, to the extent permitted under applicable law. Some Trial Periods may require that you provide your payment details to get started. If you provide such payment details, you agree that we may begin charging you automatically for a subscription on the first day following the end of the Trial Period. If you do not want to be charged for a subscription, you have to cancel the subscription before the end of the Trial Period by contacting us here.

WHAT WE PROVIDE AND OUR RESPONSIBILITIES TO OUR USERS

Through the App, Whitelines provides a platform for users to exchange ideas, notes, pictures, and such content.

Our offer is the platform, tools, and features for users to learn, interact, and optimize their experience through user content.

In the Whitelines App third-party applications such as, but not limited to, storage and cloud services are available.

We cannot guarantee that the App will be operational and available, error-free at all times, or that mistakes will not happen from time to time. Technical difficulties or maintenance work may result in temporary interruptions in the App. We reserve the right to modify or discontinue functions and features or the entirety of the App, temporarily or permanently, with or without prior notice, without any liability to you for any interruption, modification, or discontinuation of the App or any function or feature thereof. When there is an error or glitch in the platform or the App, we will use our best efforts to, if possible, correct that. As a user of the App you agree that you will indemnify and hold us harmless against any damage, liability, or costs that you incur as a result of an error, mistake, or glitch in the platform and/or App.

For the avoidance of any doubt we hereby clarify that Whitelines has no obligation to maintain, update or support, the App and the functions of the App, nor does Whitelines have any obligation to provide any specific content in the App.

THIRD-PARTY APPLICATIONS

The App is integrated with and may in other ways interact with third-party applications, websites, and services (“Third-Party Applications”), such as, but not limited to, the storage and cloud services available in the App. Such Third-Party Applications may have their own terms and conditions of use and privacy policies and your use of these Third-Party Applications will be subject to and governed by such other terms, conditions, and privacy policies. Whitelines is not in any way responsible or liable for the features, or content of any Third-Party Application or for any transaction between you or any provider of such Third-Party Applications. Whitelines does not warrant the compatibility or continuing compatibility of any Third-Party Applications in the App.

OUR PROCESSING OF YOUR PERSONAL DATA

Your privacy is important to us. But to be able to provide our services through the App we need to process some of your personal data. When accepting these Terms, you also accept our Privacy Policy that is an integrated part of these Terms. You find our Privacy Policy here.

DISCLAIMER AND LIMITATION

The following warranty disclaimer applies to the fullest extent permitted by applicable law:

Your use of the Whitelines App is at your own risk. Our goal is to provide the best service we possibly can, but you understand and agree that the App is provided “as is” and “as available”, without any expressed or implied warranty of any kind. We do not warrant nor guarantee that the App is, or will be free of, bugs, malware, or other harmful components. Nor do we make any representation, nor do we warrant, guarantee, or assume any responsibility for any Third-Party Applications, contents thereof, or any other users User Content or any service offered by a third party through the App or any hyperlinked website or the like.

No part of this disclaimer does in any way affect your legal rights as a consumer, to the extent such rights are applicable by mandatory law.

You understand and agree, to the extent permitted by applicable mandatory law, that your exclusive remedy for any problems with the App is to uninstall and/or stop using the App.

In no event is Whitelines, its officers, shareholders, employees, agents, directors, subsidiaries, affiliates, suppliers, or licensors liable for any indirect, special, incidental, or consequential damages or, any loss of content, use, data, business, or profits (whether direct or indirect), arising out of your use or inability to use the App or any features of the App.

SEVERABILITY AND WAIVER

In case any provision of these Terms should be invalid or unenforceable, such invalidity or enforceability will not in any way affect the remaining provisions of the Terms.

No failure or delay by Whitelines, or any third-party beneficiary, to enforce the Terms or any provision thereof will waiver or limit our right to enforce such provision at a later time.

ASSIGNMENT

Whitelines may assign the Whitelines App Terms or any part of them, and Whitelines may also delegate any of its obligations under the Terms. You may not assign Whitelines App Terms or any part of them, nor transfer or sub-license your rights under the Terms, to any third party.

INDEMNIFICATION

You fully agree to indemnify and hold Whitelines harmless from and against any and all liabilities, damages, losses, costs and/or expenses of any kind arising out of your breach or alleged breach of the Terms, your violation or alleged violation of any law or the rights of any third party, including any actual or alleged infringement or other violation of a third party’s intellectual property rights, and/or your use of the App.

DISPUTE AND DISPUTE RESOLUTION

These Terms shall be governed by Swedish law.

Any dispute arising from these Terms shall be decided by the public court with Stockholm District Court as the first instance.

Notwithstanding anything else stated in these Terms, Whitelines shall have the right to handle payment disputes in another forum appropriate to the matter.
